Juni 2008 hat s\u00e4mtlichen Antr\u00e4gen des Verwaltungsrates zugestimmt.<\/span><\/span><\/b><\/span><\/b>\n<\/blockquote>\n<p class=\"wp-block-paragraph\"><b><\/b><\/p>\n<p class=\"wp-block-paragraph\"><\/p>\n<p class=\"wp-block-paragraph\"><span>Die Aktion\u00e4re beschlossen eine gegen\u00fcber dem Vorjahr um 33% h\u00f6here Brutto-Dividende von CHF 1,00 pro Namenaktie auf dem dividendenberechtigten Aktienkapital. Die Auszahlung der Dividende erfolgt mit Valuta 16. Juni 2008.<\/span><\/p>\n<p class=\"wp-block-paragraph\"><span>\u00a0<\/span><\/p>\n<p class=\"wp-block-paragraph\"><span>Die Totalrevision der Statuten der Sonova Holding AG wurde angenommen. Zu den wichtigsten \u00c4nderungen geh\u00f6ren:<\/span><\/p>\n<ul class=\"wp-block-list\">\n<li class=\"wp-block-list-item\"><span>Die Aufhebung der \u201eOpting up\u201c-Klausel. In Zukunft muss ein \u00f6ffentliches Kaufangebot an alle Aktion\u00e4re bereits bei Erreichen des gesetzlichen Schwellenwertes von 33 1\/3% erfolgen, und nicht wie bisher erst bei 49%.<\/span><\/li>\n<li class=\"wp-block-list-item\"><span>Neu kann jeder Aktion\u00e4r beziehungsweise jede Aktion\u00e4rsgruppe mit einer Sonova Beteiligung von mindestens 1% (bisher 5%) ein Traktandum auf die Agenda der Generalversammlung setzen.<\/span><\/li>\n<li class=\"wp-block-list-item\"><span>Die Stimmrechte k\u00f6nnen an der Generalversammlung neu auch an Nicht-Aktion\u00e4re \u00fcbertragen werden.<\/span><\/li>\n<\/ul>\n<p class=\"wp-block-paragraph\"><span>\u00a0<\/span><\/p>\n<p class=\"wp-block-paragraph\"><span>Die aufgrund des Aktienr\u00fcckkaufprogramms beantragte Kapitalherabsetzung wurde genehmigt. Durch Vernichtung von 1&#8217;395&#8217;000 Aktien von je CHF 0,05 Nennwert, die im Rahmen des Aktienr\u00fcckkaufprogramms vom 20. September 2007 bis 25. April 2008 erworben wurden, wird das Aktienkapital somit von CHF 3&#8217;372&#8217;575,30 um CHF 69\u2019750,00 auf neu CHF 3&#8217;302&#8217;825,30 herabgesetzt.<\/span><\/p>\n<p class=\"wp-block-paragraph\"><span>\u00a0<\/span><\/p>\n<p class=\"wp-block-paragraph\"><span>Heliane Canepa wurde f\u00fcr die statutarisch vorgesehene Amtszeit von drei Jahren als Mitglied des Verwaltungsrates wiedergew\u00e4hlt und PricewaterhouseCoopers AG, Z\u00fcrich, wurde f\u00fcr eine weitere Amtsdauer von einem Jahr als Revisionsstelle best\u00e4tigt.<\/span><\/p>\n<div class=\"wp-block-buttons is-layout-flex wp-block-buttons-is-layout-flex\"><div class=\"wp-block-button\"><a class=\"wp-block-button__link wp-element-button\" href=\"http:\/\/e2.marco.ch\/publish\/sonova\/ws_press_release\/20080611_de_99746945dc37bb8106d812ca27ae4b6c0a9931f4_Medienmitteilung_AGM2008.pdf\">Medienmitteilung<\/a><\/div><\/div>\n","protected":false},"excerpt":{"rendered":"<p>Die ordentliche Generalversammlung der Sonova Holding AG vom 11.
